FREMONT, CA - MAY 6, 2002- SYNNEX Information Technologies, Inc., a global information technology (IT) supply chain services company, today announced that it has signed a definitive agreement to acquire substantially all of the assets of Gates/Arrow Distributing, a business unit of Arrow Electronics, Inc. (NYSE: ARW). Gates/Arrow is a full-line distributor of computer systems, peripherals and software, servicing value-added resellers across North America. The purchase price, a combination of cash and the assumption of stated liabilities, will be determined based upon the adjusted net book value of the assets and liabilities of the business transferred as of the closing date. The transaction is expected to close within 30 to 45 days, subject to approval under the Hart-Scott-Rodino Antitrust Improvements Act and other customary conditions.
