Files Registration Statement for Offering of 6,000,000 Secondary
Shares
FREMONT, CA – October 12, 2005 - SYNNEX Corporation (NYSE:SNX),
today announced that it has filed a registration statement with
the Securities and Exchange Commission covering a proposed offering
of 6,000,000 shares of its common stock held by certain stockholders.
SYNNEX is not offering any shares. The selling stockholders intend
to grant the underwriters the option to purchase, within 30 days
from the date of the prospectus, up to an additional 900,000
shares of common stock to cover over-allotments, if any. Bear
Stearns & Co., Inc. will act as sole-bookrunning manager,
Citigroup Global Markets Inc. will act as joint lead manager,
and Raymond James & Associates, Inc. and Banc of America
Securities LLC will act as co-managers of the offering.
The offering will be made only by means of a prospectus.
